3. INTELLECTUAL PROPERTY RIGHTS

Upon full payment, ProductGroundHub.com assigns all rights to:
Source code developed specifically for Client
Custom designs and graphics
Client-specific functionality
Database structure
3.2 ProductGroundHub.com Retained Rights:
Proprietary frameworks, libraries, and tools
Reusable code modules
Development methodologies
Templates and boilerplate code
3.3 Third-Party Components:
Open-source licenses remain as per original terms
Commercial components require separate licenses
Client responsible for ongoing license fees
4. CONFIDENTIALITY
4.1 Confidential Information Includes:
Business strategies and plans
Source code and technical specifications
Customer data and databases
Financial information
Any information marked "Confidential"
4.2 Obligations:
Non-disclosure for 7 Day post-agreement termination
Only disclose to employees needing-to-know
Use solely for project purposes
Return/destroy upon request
5. PROJECT MANAGEMENT
5.1 Communication:

Monthly Maintenance Plans:

Client may terminate with 30-day notice
Payment for work completed plus 20% termination fee
Deliverables provided as-is at termination
9. MISCELLANEOUS
